Mainland China Entity Options
Choose the Structure That Fits Your Activity
Foreign investors in mainland China typically choose between a wholly
foreign-owned enterprise, a joint venture, or a representative office.
Each has a different scope of permitted activity and reporting burden.
WFOE
Wholly Foreign-Owned Enterprise
A limited liability company owned entirely by foreign shareholders. It is the
most common structure for foreign companies that want to trade, provide
services or operate a business directly in Huangshan.
- Full foreign ownership
- Broad scope for commercial activity, subject to permitted business scope
- Can invoice clients and employ staff locally
Typical fit: operators, service providers and trading companies planning ongoing local activity.
JV
Joint Venture
A company formed with one or more Chinese partners. A joint venture can be
useful where local relationships, licences or land access are central to the
project, and where partners share capital and management.
- Shared ownership and governance
- Defined through a joint venture contract and articles
- Requires careful drafting of rights and exit terms
Typical fit: projects involving local partners, facilities or regulated sectors.
RO
Representative Office
A non-profit liaison office of a foreign company. A representative office may
conduct market research, liaison and coordination, but it cannot engage in
direct profit-making business or issue invoices.
- Limited, non-commercial scope
- Suitable for liaison and market presence
- Not a vehicle for direct sales activity
Typical fit: overseas firms that want a liaison presence before committing to a full company.
